Investigating Air Pollution There are many different types of air pollutant. These pollutants have different effects on the environment and on our health. Some, directly because they are harmful chemicals and others because they can react together to produce harmful chemicals. Other pollutants or pollutant combinations upset the natural balance of acidity and nitrogen in the environment which can affect the diversity of species in sensitive areas. Other pollutants can contribute to changing global conditions and potentially give rise to dramatic changes in climate and sea level. Every aspect of a corporation is somehow controlled by the Corporations Act, 2001 Everything starting from the appointment of directors to the discharge of duties of the directors comes under the purview of the corporations act. Before discussing further about the duties of the directors, it would be prudent if we were to turn our attention to the actual appointment o director under the Corporation Act, 2001. The definition given in the Corporation Act with regard to directors is broad enough to include within its ambit all officers appointed by a company who perform all, or substantially, the tasks of a managerial nature for the company. From this proposition it is obvious that the directors stand in a fiduciary relationship with the company as a huge amount of trust and confidence is reposed in them and it is mandatory, both legally as well as morally, that they should honor such trust and confidence. Directors again may be subdivided into executive and non-executive. A non-executive director is one who, as the name suggests, has not been appointed in an executive capacity by the organization. Generally such non-executive does not form part of the internal management capacity of a company and instead works in a supervisory capacity from outside the company. They are also termed as independent directors. Both such directors have their sets of duties legally specified and mandated for the m. Duties of a director The duties of a director may be basically and broadly divided into the following four heads: Duty of acting with due care and diligence; Duty of acting in good faith; Duty to use the position of director in a proper and valid manner; and Duty to make proper use of information in the hands of the director. Now let us consider each such duty in detail. Duty of acting with due care and diligence: This is an obvious and indispensable part of the directors duty. This duty finds reflection in section 180 of the Corporations Act, 2001. A director is expected to act with obvious care and regard to the companys affairs and also be diligent in his dealings. This point has been subject to much judicial as well as academic scrutiny. One of the first questions that may arise with regard to this point is the yardstick against which the due care and diligence of a director must be measured. To put it more simply, what should the yardstick be? Whether the director should be judged with regard to his own intelligence or with reference to the intelligence of a person of normal prudence and reason? This question arose in the case of Re City Equitable Fire Insurance Co. Lt. One Bevan holding an influential position in the company created a situation in the company that other directors in the company were made instrumental in his plan. Such was the extent of his plan that it lead to a corporate collapse and other directors were, knowingly or unknowingly, part of his plan. Now the question was whether the other directors had failed in their duty of due care and diligence, because going by the circumstances of the case, one of them being signature of blank cheques by such directors, it may be said to be highly probable that the other directors had in fact failed in such duty. However court took a holistic view of the case and did not consider a single act of signing blank cheques as evidence of acting without due care and diligence.The Court held that directors had signed in circumstances that did not give rise to any suspicion in the minds of the director, thereby going by such ac tion; the court held that the directors in fact had acted in due care and diligence. However, in the case of Re D'Jan of London Ltd it was held by the court that in case a director simply signs a document without having read the same, that would amount to acting without due care and diligence. Duty of good faith: This duty is enunciated in section 181 of the Corporations Act, 2001. Here the term good faith implies an honest and bona fide belief. Such belief should be towards the end that whatever the director is doing, he is doing for the benefit of the company and for its ultimate good. In the case of Re Smith and Fawcett Ltd the court specifically held that the duty of good faith has been imposed upon the director and thus, ultimately it is the director who must exercise his good faith and not anyone else, not even the courts. Of course, a natural corollary of this duty would be that in case directors actions lead to an adverse effect on the companys interests, the directors would have a harder time explaining to the court about the good faith that they employed while taking decision on behalf of the company. In the case of Harlowes Nominees Pty Ltd v Woodside (Lake Entrance) Oil Company NL the directors of the company made allotment of share capital to company B. Such allotment was done in exercise of discretionary powers of the directors and not through usual process and the ultimate aim of the allotment was to prevent a particular mysterious buyer from acquiring further substantial shares in the company. Also company B acted in collaboration with Woodside (Lake Entrance) Oil Company NL in the process of exploration of natural oil and gas. This allotment was challenged by a mystery buyer on the grounds that the allotment did not further the interests of the company and the directors did not act in good faith. It was held that good faith simply did not imply the bare financial interests of the company. While allowing the shares to have been sold in the market freely would definitely have been more lucrative for the company, the main aim of the allotment was to prevent the mysterious buyer from gaining further substantial shares in the company, therefore effectively allowing the management of the company being transferred to the mysterious buyer. Thus, going by the actions of the directors, it could well be inferred that they did actually act in good faith. Duty to use the position of director in a proper and valid manner: This duty is found in section 182 of the Corporations Act. The section prohibits a director from using their position in any way that would provide to such director an undue or unwarranted advantage that would otherwise not have come to the direction. Examples of improper use may be said to be influence exercised by directors upon future investment decisions of the company, by virtue of which a director may change his plan accordingly. This section extends not only to the director himself, but also in cases of any undue advantage such director may extend to some other person. In the case of ASIC v Adler, it was laid down by the Court that the director Adler was in contravention of section 182 because he had mobilized funds to the tune of $ 10 million to be given to PEE by HIHC in the form of a loan. As a result of this transaction, PEE had to suffer losses in its investment because the main aim of such transaction was to jack up the share prices of HIH and thereafter all the shares of HIH held by Adler Corporation were sold and Adler himself was an officer in such corporation. This resulted in PEE facing a huge loss in the market and Adler Corporation gaining an undue profit. Duty to make proper use of information in the hands of the director: Again the language of this duty might be positive but what this duty essentially implies is that it is incumbent upon the directors not to misuse information that such director may have received simply by virtue of being a director of such company. This duty finds expression in section 183 of the Corporations Act, 2001. The liability is imposed not only on the director but also on any person who receives information for not being a director of any company. An example this section in practice is the case of McNamara v Flavel in which McNamara being the director of a company named Duna World Pty Ltd obtained certain information in such capacity and used that for his own benefit, thereby causing undue loss to his company. Here the court held that the director was acting in obvious breach of his duty. He used such information illegally for his own benefit, but his actions also caused loss to the interests of the company, the facts of the case were very clear and they explicitly pointed that McNamara had acted intentionally and willingly in breach and thus he was held liable. Conclusion The four duties discussed above, are in brief, the duties of a director and such duties are non-negotiable. Directors of a company stand in fiduciary relationship with the company and keeping that in mind, directors are supposed to exhibit exceptional and extreme fidelity to a company. It is undeniable that an efficient director can take the company from strength to strength and to help directors achieve such lofty aims, they are given immense powers and discretion. I really like that saying because baseball is engrained in America’s history. I think its funny that baseball almost has a history as vast as the United States. The idea of playing catch in the backyard or going out to the ballpark with your family is etched into my idea of America†. As a kid that loves the idea of America, it seems fitting that baseball is part of my life. The history is another aspect that keeps me playing. Abner Doubleday first adapted baseball from the British game, â€Å"Rounders†. From then on, baseball has evolved into the modern game that I have grown to love. When I visited the Baseball Hall of Fame, I realized how important the history was. Every time I step on a baseball field, I think about the other people that have stepped on a similar field in the past. I think of heroes like Jackie Robinson and Ty Cobb, but I also think of soldiers in World War II that continued to play overseas. I feel honored just to think that I am playing the same game that they played. Luckily, I am privileged enough to still be playing baseball. I cannot imagine myself not playing baseball and it makes me nauseous just thinking about it. Like I said, baseball is part of my lifestyle. It was her sister who had, with broken sentences, slowly told her that he had died. Mr. m[M]allard's friend Richard was also there at the time to assist Josephine in breaking the bad news. After they had told her, she had looked [?] herself in her room and stared out the window. The second attitude was shocked this was how I felt at the end of the story. [CS - 1] The reason I did is when Josephine finally got Louise to come out of her room and come back downstairs. [Frag -1] On the way downstairs the front door opened and in walked Mr. Mallard who was supposedly dead. The sight of him shocked Louise so much that it had caused her to have a heart attack and die. This was shocking to me because they had said that he had die d in a railroad accident and the second telegram confirmed it. The Qinghai-Tibet Railway originates in Xining, capital of Qinghai Province, which is 1,142 kilometers (713 miles) long. With about 600 kilometers of the railway is built within the Tibet Autonomous Region, it is however, the first railway that linking Tibet with the western part of China, and it will extend from Lhasa, the Tibetan capital to Golmud, a traffic hub in Qinghai Province. Once the construction completed, it will become the longest and most elevated railway built on highlands in the world, and will later be extended to Shigaze and Linzhi in Tibet, and Yunnan Province in southwest China. The acme of the Qinghai-Tibet Railway is 5,072 meters above sea level, and more than 960 kilometers, or four-fifths of the railway will be built at an altitude of more than 4,000 meters. Nearly half of the railway (550 kilometers) will be laid on continuous and permanent frozen earth, and the rest of the railway will pass through the grasslands, natural reserve zone, wetlands, and also the arid desert region. The Chinese Government has wanted to build such a railway since the 1950s, shortly after the Communist Army took over control of Tibet. However, the project was postponed for decades due to the construction difficulties with the altitude, terrain, and also the shortage of capital sources. Nevertheless, the dream of building such a railway linking to Tibet has never been gave up by the Chinese Authorities, for which the construction planning, reconnaissance, and feasibility research study has been took place in Qinghai-Tibet plateau for many years ever since the 1960s. In 1984, the Xining-Golmud Railway was completed, the first phase of the Qinghai-Tibet Railway, which is 815 kilometers long. It is an undeniable fact that, once the Qinghai-Tibet Railway is completed, it will bring a convenient transportation way to and from Lhasa, and it eventually lead to a result of overwhelming influx of Chinese migrants, unemployed, and the laid-off workers of the over-saturated eastern coastal cities to migrating to the Tibet Autonomous Region seeking for working and business opportunity. However, these Chinese do not come all the way here to Tibet just to preach Maoism or even Han-ism, and they are concerned about Tibetans only in as much as a Tibetan might endanger or increase their chances to make money. Their opportunities mainly depend on the large government-subsidized projects that fuel Tibet's tertiary economy. Without these, they would have to be left floating again and would drift to the next prospective region all over the country. This controversial railway construction plan has gained great attention for Overseas Tibetans and Tibetan observers over the world after the Chinese government reveal its plan as part of the so-called Western Development Strategy. The Tibetan Action Committee stated that they are afraid once the Qinghai-Tibet Railway plan completed, it will decimate the Tibetan's cultural and traditions and therefore it will destroyed Tibetan's unique identity and turn Tibetan to become sinicize. As the action committee still regards the presence of Communist administration in Tibet since the 1950s as an occupation; in contrast to what the Communist administration called it the â€Å"peaceful liberation†. Therefore, it is not too hard to understand for their worries of the railway construction that link to Lhasa will bring tightening military grip over Tibet , and a much faster and convenient way for logistics supply. Looking at it another way, once the railway is completed, Tibetan herdsman can easily sell their sheer product outside the border, plus more consumer products can enter Tibet which can be improve Tibetans' living standard, where the price will go down due to scarcity of goods. This particular class is considered as one of the primary agents that facilitated the path for successful transition from feudalism to an economy that is equipped to embrace the industrial revolution. This research also present the evidence that this non-feudal class rose in the context of: an economic atmosphere in their favor; an opportunity to ascend that was presented primarily through the dissolution of the monasteries; decline of the aristocracy and the centralization of the monarchy; and changing religious atmosphere that became encouraging for entrepreneurship and profit maximization. This economic, religious, and political transformation was not for England alone, the entire continent experienced it. However, the gentry, a particular class was unique to England that was able to escape the cycle. 2. Who were the Gentry? In order to discuss the role of this class in Industrial Revolution, it is crucial to recognize who they were. England, the birthplace of the industrial revolution, had a unique organization of the aristocracy. Unlike the rest of the continent, primogeniture was the order of the day, and thus, title and privilege of nobility and an intact estate were awarded only to the eldest son. Whilst rest of the offspring were considered commoners3.Another distinguishing feature was that English nobility did not rule entire regions or districts, rather their estates were dispersed across the British Isle’. These features proved to be the driving factors that enabled a non-feudal class to emerge. The aforementioned class was also known as the Peerage, and had the right to sit in the House of the Lords. Westgate Bridge Collapse Engineering The West Gate Bridge fell down on the 15th of October in 1970, it was caused by a few half girders on the west part of the bridge that didnt fit. They attempted to fix this with an unusual method which made the situation worse. The bridge buckled and eventually collapsed. It killed the workers while they were on break and only a few were left alive. Introduction The West Gate Bridge started construction in 1968 and was the second longest bridge in Australia. The building process was going well at first though an unusual method was being used throughout the project. About 2 years into construction, problems began to show. There was an imbalance between several steel girders which made them not fix into position. Some engineers proposed putting 10 concrete blocks which weighed 8 tons individually, on each of the girders to put them into place which caused the bridge to buckle. Background The company Freeman Fox Partners was in charge of build and this was their 20th bridge.Some of their previous works were The Adome Bridge, Humber Bridge, Erskine Bridge, and Forth Road Bridge. The West Gate Bridge is a cable-stayed bridge in Melbourne, Victoria, Australia which spanned over the Yarra River north of Port Phillip and is an important link to the inner city. Investigation For the most part, the investigation was mostly interviewing survivors and explaining what happened. The blame was mostly on the engineer who designed it and the engineers who ordered the concrete blocks. Findings It was found that Ward, aka Freeman Fox Partners were responsible for giving the designs.The bridge was built unevenly and they tried to put concrete blocks on the girders. Their measurements were fixed in the rebuild and there were no problems during the process. Conclusion It was structural engineer fault due to the failure of measuring properly and allowing to fixing the problem with concrete bricks, which resulted in the bridge buckling. The mess was cleaned up almost immediately. The ambulance got the injured, the firefighters put out the fire and the construction crew cleaned up the wreckage and started over. You perceive she stirs: --The Winter's Tale (V.iii.98-103)    Unlike most of Shakespeare's earlier plays, The Winter's Tale moves from tragedy to comedy. The disastrous consequences of Leontes' jealousy and tyranny are resolved by the passing of time. Only after sixteen years can the two royal families come together again. Time also plays a significant role in the reading of the chosen passage. The passage is full of commas, colons, semi-colons, and periods, which force the lines to be slowed and pausing. The frequent punctuations draw the reader's attention to time and its effects on the words being spoken by the characters. The scansion of the passage illustrates Shakespeare's mastery of time as he manipulates the rhythm of the lines using varying foots and meters. Time seems to be the crucial element in not only the scansion of this passage, but in the development of the play as a whole.    Line ninety-eight begins with a half-line consisting of only two feet, "No foot shall stir." The brevity of the line and the slowness of the opening spondee help to create the tension before Paulina attempts to summon the statue of Hermione. Leontes wants everyone to stand still while Paulina tries to give life to the statue. He says, "No foot shall stir" (98). Meanwhile, the metrical feet in line ninety-eight do "stir" as the pentameter is broken up into two ha... ...vidual from imminent danger. Is gun control really the right solution to gun abuse? Will this really be effective? Will the American society be safer when guns are banned? Though there are many questions, there is only one answer: NO!! Liberals have tried to argue that banning guns from civilians is the best way to solve this problem. However, this is not the right way to solve this problem for many reasons:First, to get facts straight, guns do not kill people; people kill people 100% of all homicides are committed by people. Secondly, banning would only leave criminals with guns, since they obtain them illegally anyway and law-abiding citizens would have no means of protection. Criminals now are committing less violent crimes that have minimal contact with people, knowing the fact that they might own guns, so if guns are banned criminals would commit more violent crimes. Banning guns would give the government complete control over the people, by stripping them from their natural rights. Lastly, guns have caused more benefit than harm. According to statistics, in 2005 gun ownership by citizens had stopped 2 out of 3 rapes. The majority of people want gun ownership, polls in 2006 have shown that about 86.25% of Americans do not want guns banned. Second, guns mostly used by law-abiding citizen have mostly been used for self-defense. Mr. Thomas Harrison, 60, says One time a robber broke into our house and tried to molest my daughter fortunately I got my gun from my drawer and popped a cap right into his knee. Guns are weapons of oppression, if guns were banned only oppressors would have guns and the oppressed would even be more miserable. The founding fathers of this nation have made the right to bear arms in the Second Amendment; the same founding fathers who set up a government that still runs and functions as they envisioned. These founding fathers died and sacrificed themselves for the American people so that they keep their natural rights and now these so called liberals want to change this right just because they think its harmful. If the American people actually let them do this what else, would the government try to extort from the peoples natural rights?Third, the problem with guns is that people are not ethically and morally behaved. If schools educated their students about guns and their consequences, most shots might not have been fired. Second, if parents were more responsible keeping weapons away form their children, and raised their children in the proper and right way,  Americans would probably not have these problems. Guns should not be banned instead, they should be hard to find and obtain. Though this might sound strange, bullet, and shell prices should increase so that they are not affordable. Furthermore, background checks should be more thorough, and gun purchasers should take a safety course and be officially certified by the government. In addition, bulletproof vests should be more available for workers in banks and other work places where valuables are stored. Moreover, schools should start teaching students how to cope with life, so that the new generation might have a chance in living in a peaceful society or era. Hopefully, if these suggestions and policies are followed the crime and homicide rate in the United States will drop by an estimated 35%. Liberals and gun control supporters might say that guns are the major weapons of murder and crime and that if banned crime would decrease. This is not true because some criminals will obtain these weapons illegally or use other types of weapons in order to commit their crimes. Once again, people kill people not guns or any other type of weapons. The answer to this problem is education not violation. Employment and Natalie Essay

Natalie Attired worked at Biddy’s for one year when she was fired for getting a sleeve tattoo on her upper right arm. Natalie was fired because Ms. Biddy claimed that she her appearance was disturbing the clients while they were trying to eat. There is no employee manual or written policy about employee conduct. Natalie while for unemployment in July 2010 but was denied because she was terminated for â€Å"misconduct.† Biddy’s has been in for over 20 years and is run by Biddy Baker, age 60. Biddy evaluates her waitress’ performance every three months. Questions Presented: Was Natalie’s tattoo in fact a distraction to the customers in the restaurant? Were there any guidelines in place that would in fact tell Natalie that she was in violation of the dress code? Did Ms. Biddy talk to her employee about how she wants there to present themselves while at work? Brief Answers: Two customers complained that Natalie’s tattoo was distracting. There were not any guidelines or employee handbook that stated was acceptable or not acceptable. Ms. Biddy did evaluate her employees every 3 months but in the evaluations she did not state how she wanted her employees to present themselves. Nowhere is it stated that she did anything to make her employer have to take negative action against her. She was always on time for work, she was pleasant with the customers, and she usually gets all the orders. Conclusion: Natalie was wrongly denied her unemployment benefits because she does not fit the criteria to be denied because of misconduct. She did perform her job to the best or her knowledge and there was no handbook to ensure that she was wrong about getting the tattoo. If Ms. Biddy wants her employees to conduct themselves a certain way she should provide guideline to ensure that they in fact know what is expected of them. Natalie should be able to receive her benefits and should have them backtracked to her original file date of unemployment.
